Terms of Service

This is an agreement (“Agreement”) between you and Redeeem LLC ("Redeeem" or “Company”). This website and its related services are owned and operated by Redeeem LLC, a business incorporated in Delaware, United States. By signing up for an account on redeeem.com or engaging with any associated websites, domains, APIs, social media bots, browser extensions, mobile applications (collectively the "Website"), you agree that you have read, understood, and accept all of the terms and conditions contained in this Agreement.

General Notices

We reserve the right to change these Terms at any time, at our sole discretion. If we make changes, we will notify you by posting the updated policy on our Site and revising the “Last Updated” date above. It is your responsibility to read the Terms carefully on each occasion you use the Services.

Your continued use of the Services shall signify your acceptance to be bound by the current Terms. Failure or delay by Redeeem in enforcing or partially enforcing any provision of these Terms shall not be construed as a waiver of any rights. 

About Redeeem


Founded in 2018, Redeeem is an Internet-based service providing secure transaction management between buyers and sellers for gift cards. Redeeem provides escrow services and digital wallet hosting and software, however Redeeem is not a cryptocurrency exchange and does not offer services to exchange cryptocurrencies (“Crypto”) or fiat currencies (“Fiat''). As a peer-to-peer marketplace, Redeeem does not buy or issue any gift cards or other closed-loop products sold on redeeem.com and Redeem is not an official partner, sponsor, affiliate or in any way related to the merchant brands whose logos or trademarks appear on our site.

How it Works

Sellers (“Sellers”) can post gift card offers (“Offers”) for digital goods that can be purchased by Buyers (“Buyers”) who pay for them using cryptocurrencies. The Seller is responsible for understanding and terms and risks of every offer and fulfilling all of its obligations to ensure a good experience for the Buyer.

Buyers (“Buyers”) can accept Offers posted by Sellers, in which case an Escrow is initiated. Payment is released from escrow to the Seller once the Buyer has Completed all the obligations of the trade, as determined in the Offer terms. The Seller may cancel the offer at any point before the Escrow begins, however once the Escrow begins the Seller may not cancel the Offer.

Gift Cards can be reported as invalid (“Invalid”) for reasons including but not limited to error messages such as “taken”, “invalid”, “locked”, “stolen”, or “disabled”. Gift Cards may also become Invalid due to an account closure by the retail merchant. Escrow may not be released to the Seller if the gift card is reported Invalid by the Buyer.

The Seller has the ability to open a dispute (“Dispute”) if the Seller believes the Buyer has acted fraudulently. In the event of a dispute, a Redeeem moderator will conduct an investigation using each Users past trading statistics on the platform, evidence provided, and other information that Redeeem deems relevant in the trade and the Redeeem moderator will determine a winner of the dispute. Redeeem is the sole and final decision maker for all disputes. Once a dispute verdict has been given, it is considered final and no appeal process will be granted to the Buyer or Seller to change the status.

Authorized Use

You can use Redeeem only for its intended purposes and solely in accordance with these Terms of Service. Subject to your full compliance with these Terms of Service, Redeeem grants you a limited, nonexclusive, non-sublicensable license to access and use Redeeem solely for the purpose of trading Gift Cards or receiving other available services and features on Redeeem. This limited use and access license is revocable at any time by Redeeem.

Your Account with Redeeem and any access to the products, services and/or any portion of our Website, including any of our mobile applications, is and shall remain at the sole and absolute discretion of Redeeem. Therefore, Redeeem reserves the right to temporarily or permanently terminate, suspend, or refuse to permit your access to any portion of Redeeem (including any of our mobile applications and your User Account) and any of the services provided on Redeeem for any reason, all at our sole and absolute discretion, with or without notice and without liability to you of any kind. You further agree that you will remain bound to the terms of these Terms of Service at all times during any suspension and after termination of your Account or access to Redeeem, with respect to any trades, occurrences or acts or omissions on your part prior to or during the suspension, or prior to termination. We reserve the right to terminate or change any of the services available on Redeeem.

Redeeem may not make all of the Services available in all markets and jurisdictions and may restrict or prohibit use of all or a portion of the Services from certain jurisdictions (“Restricted Jurisdictions”). At this time, Restricted Jurisdictions include those that are identified on our “List of Banned Countries”. You must not attempt to use our Services if you are located in any of those Restricted Jurisdictions. You must not attempt to circumvent any restrictions imposed via the Services, such as by obscuring your IP address or submitting any inaccurate information regarding your location.

Use of Accounts

You can join Redeeem by registering and setting up an Account on Website or via our mobile applications (“ Account ”). Use of Redeeem is intended solely for Users who are 18 years of age or older. If you are under the age of 18, you are not permitted to become a User of Redeeem. 

We permit limited access to Website to guests and visitors who have not registered a User Account. You may only set up one Account on the Website. You must fully comply with the following requirements: (i) provide complete, current and accurate information at time of registration, (ii) update all relevant Account information to keep it current and accurate (iii) select a security code/password for your Account that is not easy to guess or hack, and (iv) maintain the security and confidentiality of your User Account, including any access or use of security codes associated with your User Account, so as to minimize the risk of unauthorized access of your User Account. Finally, you agree to inform Redeeem immediately if you suspect that your Account at Redeeem has been hacked or subject to any unauthorized access or use.

You agree that Redeeem may verify your information through whatever lawful means it deems reasonable and appropriate, to request additional information to confirm your identity and to deny you access to Website if it determines any information provided is suspect, not accurate or cannot be confirmed.

Trading Rules

By using Redeeem and setting up a User Account, you agree to the following rules (below) when visiting or transacting on Redeeem.

Gift Card Limits

In order to protect our community at Redeeem, Redeeem require every user to verify their identity through a Know Your Customer (KYC) process. The limits vary by country, but apply strictly to everyone. No User can purchase more than $10,000 worth of Gift Cards per day and no User can list a Gift Card in excess of $2,000 in face value.

Buying Gift Cards

We are not a party to any transaction that you may enter into with the Retailer as a result of your trading a Gift Card on Redeeem, and Redeeem is in no way responsible for the quality of goods or services you acquire from a Retailer or otherwise procure using a Gift Card acquired on our Website.

Buyers must first purchase Redeeem Credits to enter escrow on the Website. Buyers do not have to send digital currencies to their bitcoin wallet to buy Credits. See section “Credits” for details on Credits. 

As a Buyer, you acknowledge that any Gift Card offer posted for sale:

  • is not verified by Redeeem
  • is traded at your own risk
  • may cause account closure at Retailer
  • may be delivered instantly or delayed
  • may become Invalid if Retailer goes out of business
  • may vary in quality or ability to use from other Gift Cards
  • has unique terms and conditions with its Retailer
  • is not required to be delivered via email
  • may be listed with inaccurate details

You understand the risks associated with buying second-hand Gift Cards. You agree specifically to have read and accepted particular terms and conditions of the Retailer when you agree to purchase the Gift Card on Redeeem. 

Selling Gift Cards

When you sell a Gift Card on Redeeem, you agree to transfer ownership of the Gift Card and all of your interest in the Gift Card to the Buyer in return for a payment in the amount designated in the Gift Card sale Offer on Redeeem. In each Gift Card Offer that is completed in accordance with the Terms of Service, Sellers will receive an amount equal to the price at which is mutually agreed upon by both Users at the time of trade.

As a Seller on Redeeem, you may cancel any Offer from Redeeem prior to Escrow, in accordance with these Terms of Service. Once a Buyer has accepted the terms of the Offer and initiated Escrow, that Gift Card Offer, the Seller is bound to sell that Gift Card at the price set forth in the Offer. Similarly, once the terms of the trade are satisfied and the Escrow is closed, that trade is final and cannot be unilaterally canceled by the Buyer or Seller.

Listing a Gift Card on Redeeem will not ensure that the Gift Card will sell on Redeeem. Redeeem may remove a listing of a Gift Card for sale for any reason and at any time, including if the Gift Card has not sold over a period of time or if Redeeem has any concerns related to the Offer of any particular Gift Card.

As a Seller, you represent and warrant that any Gift Card Offer you create:

  • is only listed on Redeeem and nowhere else
  • is in your sole possession, physically or electronically
  • is valid, authentic and was obtained lawfully
  • is fully redeemable for the balance stated
  • is listed with accurate product details

Trade Offers

Sellers may create Gift Card Offers (“Offers”) for Buyers and advertise on the Website free of charge. Buyers can enter Escrow and trade for a Gift Card by accepting any available Offer by a seller, unless blocked specifically by that Seller. Redeeem requires every Offer to contain at minimum the face value amount, payment method, brand name, discount rate, and a Refund Period and Dispute Period. Sellers ultimately receive Earnings when they successfully sell a Gift Card and the Escrow Period has ended. The Website may also be referred to as Orders (“Orders”), there is no substantial difference between Orders and Offers.

Escrow Services

Redeeem provides escrow services (“Services”) as part of its Website and trading platform to allow quick, safe, and easy trading of Gift Cards and other Digital Goods. Although the majority of trades are successful, there are cases that require the intervention of our dispute moderators. Redeeem has a sophisticated dispute system through which Redeeem settles conflicts between Users.


Credits are in-app credit on the Website calculated in USD that allow Buyers to engage in Escrow with other Sellers on the Website. Credits are solely used for the purposes of tracking Escrow balances for Buyers on the Website. Credits are completely non-transferable, non-refundable and cannot be redeemed for fiat or other digital currencies on the Website or third-party exchanges.


Earnings are in-app currency on the Website calculated in USD that allow Sellers to engage in Escrow with Buyers on the Website. Earnings are solely used for the purposes of tracking Escrow balances for Sellers on the Website. Earnings are completely non-transferable, non-refundable and can be exchanged only for Bitcoin (BTC) on the Bitcoin Core blockchain. Earnings cannot be redeemed for fiat or digital currencies other than Bitcoin (BTC) on the Website or third-party exchanges.

Exchange Rates

Redeeem has the full right to set any exchange rate for Credits and Earnings to and from other digital currencies, respectively. By signing up for an account on Redeeem and using the Website you hereby understand and agree to accepting the Exchange Rate (“Exchange Rate” or “Spot Price”) the Website has displayed and understand that the Exchange Rate changes frequently and it is your responsibility to review compare this price to the prices of cryptocurrencies on third-party digital currency exchanges (“Exchanges”) accordingly. Exchange rates for Credits and Earnings will always be posted clearly on the Credits and Earnings pages, respectively.

When calculating the Exchange Rates for Credits invoices or Earnings payouts, we will only incorporate rates by Exchanges which meet our regulatory, operational, and market depth requirements. To calculate the exchange rate for US Dollars (USD), we typically pull the market depth from exchanges with adequate liquidity and reliable withdrawal capabilities in the USA and Eurozone. We set exchange rates for non-USD currencies indirectly using an Application Program Interface (API) from Open Exchange Rates (openexchangerates.org) and other available data sources.

Escrow Services

Redeeem provides escrow services (“Services”) as part of its Website and trading platform to allow quick, safe, and easy trading of Gift Cards and other Digital Goods. Although the majority of trades are successful, there are cases that require the intervention of our dispute moderators. Redeeem has a sophisticated dispute system through which Redeeem settles conflicts between Users.


Buyers can buy Credits with Bitcoin or other cryptocurrencies. Credits are completely non-transferable, non-refundable and cannot be redeemed for fiat or other digital currencies. Buyers are required to use Credits to hold escrow with Sellers and trade Gift Cards and other digital products on the Website. Redeeem has full right to set any exchange rate between every cryptocurrency, respectively. By buying Credits you thereby understand and agree to accepting the exchange rate Redeeem has displayed, and also understand the exchange rate changes frequently and it is your responsibility to review the rates accordingly.  


Earnings are calculated in USD and represent owed payouts from successful trades that can be converted to Bitcoin (BTC) by requesting a Payout. Earnings are not transferable between Accounts, and are solely used for the purposes of activity on the Redeeem.


Escrow refers to the total duration of time in which a Gift Card trade is open. The Escrow begins the moment the Buyer accepts an Offer, and the Escrow ends the moment the funds are no longer in escrow. Funds are no longer in escrow when (1) the Gift Card trade is successfully completed and funds have been released to the Seller or (2) the Gift Card trade is unsuccessful and the funds have been released back to the Buyer. The Escrow includes the Refund Period and the Dispute Period, as well as any time a trade Dispute is in review by a moderator. 

Refund Period

Buyers have the right to submit a “Refund Request” during the Refund Period if the Gift Card is invalid or the Offer does not match the Gift Card information. The Refund Period begins when the Buyer accepts the Offer, and the Refund Period ends when either (1) the Buyer approves the gift card trade (2) the Refund Period time expires or (3) the Buyer submits a Refund Request during the Refund Period. 

If the Refund Period expires with no Refund Request, the trade is closed and the funds in escrow are released to the Seller. A Refund Period can be closed by a Buyer once a Gift Card trade is confirmed valid.

Dispute Period

Sellers have the right to dispute (“Dispute”) a Refund Request within the Dispute Period and a moderator will provide a resolution. Dispute period starts when a Buyer requests a refund of escrow on a gift card trade. If the Dispute Period expires with no dispute, the funds are released to the Buyer and the trade is closed. Dispute periods can be closed early by Sellers if they accept a refund to the Buyer.

Fraud Fees

We refer to fraud (“Fraud”) as any gift card that is reported as invalid (“Invalid”) for reasons including but not limited to error messages such as “taken”, “invalid”, “locked”, “stolen”, “disabled”, or “account closed”. 

Fraud can happen for a number of reasons (not limited to those below):

  1. The Seller used the gift card and forgot to cancel the Offer.
  2. The Buyer violated the Terms of Service of a merchant.
  3. The gift card was purchased with a stolen credit card (fraud).
  4. The gift card has a lower balance than reported by the Seller.

In Offers where the Buyer requests and successfully receives an escrow refund, whether disputed or not, the Seller will be assessed a 1.00% fee ("Fraud Fee”) based on the total retail value of the Gift Card as determined by the system and moderators. The Fraud Fee will be assessed at the time of Bitcoin payout.

Dispute Offers

A Buyer and Seller may enter into a Dispute if the Buyer requests a Refund and the Seller believes the Buyer has committed fraud by falsely reporting the status of the Gift Card either on a screenshot or video recording.

Prohibited Activity

In connection with using or accessing Redeeem (including your User Account), whether via the website, our mobile applications or otherwise, you agree not to do, and not to facilitate any third party doing, any of the following (each a “Prohibited Activity”).

Multiple Accounts

You may not create more than one Account on Redeeem. Your Account is for your own personal use and you are not permitted to have a friend or other person use your Account on Redeeem. If Redeeem detect multiple accounts, your account may be indefinitely suspended and your funds in escrow may be temporarily or permanently frozen. 

Excessive Use

You may not use Redeeem in any way that could damage, disable, overburden, place excessive demand on or impair our Website, mobile applications or any services Redeeem offer via Redeeem such domains and API endpoints.

User Violations

You may not infringe upon or violate the rights of Redeeem, its Users, third parties or Retailers. You may not use Redeeem in any manner that is illegal, fraudulent or otherwise inconsistent with, or in violation of human rights or applicable laws.

Copyright Violation

You may not use modify, alter or otherwise make any derivative uses of the Redeeem content, trademarks, technology platform or its underlying software, or any portion thereof.

Code Duplication

You may not copy, reverse engineer, decompile, disassemble or attempt to discover the source code of the Website, technology platform, underlying software, content or User interface, except with the express written consent of Redeeem.

Unauthorized Access

You may not attempt to gain unauthorized access to (i) any User’s personal information, personal profile, e-wallet or Account or (ii) Redeeem and its mobile applications, including but not limited to any Redeeem accounts, computer systems and/or network systems, through any means, including via a proxy server, or use any unauthorized access whether or not intentionally acquired.

Hacking & Phishing

You may not seek to transact any fraudulent or illegal activity, through any means or corrupt practices, including but not limited to any of the following: hacking, password mining, deceptive impersonation of another person, misrepresentation of your affiliation with a person or entity, hiding or attempting to hide your true identity or location (including via proxy server or otherwise) or providing false, inaccurate or altered documentation, information or identification.

Scraping Content

You may not aggregate or scrape any content, data or other information from the Website using links, scraping technology or other technical means to be aggregated or shown with material from other Websites or on a secondary Website without our express written permission. This includes any interference with our Website or operations, or attempt to access or steal any sensitive data.

Use of Robots

You may not use any automated or non-automated means of data gathering, data mining or extraction methods on or in connection with Redeeem, including any use of “robots”, “scrapers”, “spiders”, “readers” or similar devices.

Fraudulent Refunds

You may not make any fraudulent, improper or false refund request or claim under the Redeeem refund policy or any similar customer guarantees provided by us from time-to-time. 

Excessive Disputes

You may not use the Website in a manner that results in or may result in excessive complaints, disputes, chargebacks, customer refunds, invalid Gift Cards, fees, penalties or other liability to Redeeem, its Users, or partners.

Financial Fraud

You may not send or receive what Redeeem reasonably determines to be potential fraudulent funds or otherwise use Redeeem in a manner that Redeeem believes is intended to facilitate a criminal or fraudulent activity or enterprise.

Content Abuse

You may not upload to Redeeem images, content or other material that is illegally obtained, in violation of a third party’s intellectual property rights, or offensive, libelous, defamatory, harassing, threatening, inappropriate, deceptive or misleading in any way.

Unsolicited Offers

You may not make any unsolicited offers, advertisements, proposals, or send junk mail, spam or chain letters to other Redeeem Users or any other similar type of solicitation not approved of by Redeeem in writing.

Circumvent Security

You may not circumvent or seek to circumvent any security measures or other features meant to protect the security of the Website and Redeeem Users’ security.

Malicious Use

You may not use Redeeem other than for its intended purposes (including for any malicious, threatening, unethical, harassing, fraudulent or illegal activity) or otherwise in violation of these Terms of Service.

Your Liability

You are responsible for all chargebacks, fees, fines, penalties and other liabilities incurred by us, any User, a Retailer or any third party caused by or arising out of your breach of these Terms of Service, any Prohibited Activity and/or your use of Redeeem.

If Redeeem, in its sole discretion, believes that you have breached these Terms of Service or engaged in any Prohibited Activity, Redeeem take various actions to protect Redeeem, our Users, Retailers or others from claims, refunds, chargebacks, fees, fines penalties or any other liabilities or exposure to fraud. The actions Redeeem may take include, without limitation, the following (below).

Account Access

We reserve the right to interrupt your service, your access to your User Account, and/or your access to Website or any services or Gift Cards offered on Website, with or without prior notice, for any reason, at our sole and absolute discretion. In the event your Account or access to it is interrupted or terminated for any reason, whether intentionally or unintentionally, Redeeem will not be liable for any losses due in whole or in part by such interruption or termination of your Account or your access to Website. We may refuse to allow you to participate in social network groups including, but not limited to, Twitter, Telegram, WhatsApp, Instagram and Facebook.

Cancel Offers

We may terminate any Gift Card Offer on Redeeem and withhold any payments associated with such transactions without prior notice. We will notify the Buyer or Seller of the cancellation via email, text message or online live chat.


We may close, suspend or limit your access to your Account (including limiting your access to your Credits, Earnings or Gift Cards) and your ability to trade and request payment from us. We may, in our sole discretion, terminate all access to this Website, your Account and our services for any reason and at any time. We may investigate any Prohibited Activity or breach of Terms of Service

Freeze Funds

We may, in our sole discretion, take various actions, including placing a hold, reserve or other limitations on your Credits, Earnings or other digital funds being held in escrow in the event Redeeem receives notice of a court order or other legal process that requires their holding, release, or seizure, or if there is a reasonable need to protect against the risk of liability, in connection with the sale of potentially Invalid Gift Cards, User refunds or as otherwise provided in these Term of Service.

Law Enforcement

We may investigate any Prohibited Activity or breach of our Terms of Service and may notify and cooperate with appropriate law enforcement agencies. We may contact your bank and/or credit card issuer, Retailers, law enforcement and any other third parties impacted by your suspected fraudulent activities as instructed by authorities.

Session Tracking

We may use information you provide us or related to your activity on Redeeem to investigate any potentially fraudulent or criminal activity or any Prohibited Activity, including to ensure you have not made improper or fraudulent refund requests under any Redeeem refund policy or User guarantee. The data Redeeem collect on Users includes, but is not limited to, IP address, timestamps recording access to the Website, and other information about your browser session.

Escrow Deductions

If Redeeem determines that you have mistakenly, improperly or fraudulently sought and received a refund for a Gift Card traded on Redeeem, you authorize Redeeem to charge your payment method on file with Redeeem or debit your Account the full amount of any such improper Gift Card refund(s) requested by you. Furthermore, in this circumstance, Redeeem reserves the right to suspend or terminate your Account on Redeeem.


Redeeem or its Affiliates shall not be liable for any losses as a result of any issues in regards to trading on the Website, nor shall Redeeem or its Affiliates be liable for any Losses realized for technical issues involving any API Products or API Licensee technology or product offerings (including system outages or downtime).

Legal Action

We may take legal action against you. We can and may share any information related to your User Account, personal identity, access and transaction history, payment details and other information related to your usage of Redeeem with law enforcement or in court, to the extent requested in connection with any investigation into any potentially criminal, fraudulent or Prohibited Activity as defined in our Terms of Service.

Wallet Transactions

You accept and acknowledge that Redeeem is not responsible for any errors or omissions that you make in connection with any transaction initiated via the hosted Wallet or other Services, for instance, if you mistype a Wallet address or otherwise provide incorrect information that results in monetary loss. We strongly encourage you to backup your Wallet keys or use a custody wallet or exchange instead. 

Your Privacy

We take the privacy of your personal data seriously. We encourage you to read our Privacy Policy for disclosures about how Redeeem may collect, use and share personal data and the choices you may have with respect to the data Redeeem may collect and use.

Waiver of Claims

You expressly agree that you are using the Website and any services offered by us at your own risk and that the Website and services available on the Website are provided “as-is” and “as-available”. To the maximum extent allowed under applicable law, redeeem disclaims any and all representations, warranties and conditions, whether express, implied or statutory, as to the operation of the Website, information contained on the Website or any of the Gift Cards or other offerings available on the Website or any other programs available or accessible through the Website, including without limitation, any implied warranties non-infringement, merchantability, suitability, up-time, or fitness for a particular purpose. Redeeem makes no warranty that the Website will be uninterrupted, secure, virus free or error free. No oral or written information or advice given by redeeem or any representative of redeeem will create a warranty or obligation on the part of redeeem or supersede any of these terms of use.

Redeeem is not the issuer of the Gift Cards sold on redeeem and is not responsible for whether or how a particular retailer honors such Gift Cards, particularly in the circumstance when a retailer goes out of business or is in bankruptcy or liquidation. To the extent permitted under applicable law, you agree that you will not seek recourse against (and hereby waive any and all claims against) redeeem in the circumstance that a retailer does not honor a gift card because it is unable to pay its debts, goes out of business, liquidates, goes bankrupt, or otherwise reorganizes. Furthermore, redeeem is not responsible for any loss or damage resulting from lost or stolen Gift Cards in your Account without your permission and you hereby agree to waive all claims against redeeem related to such matters.

Intellectual Property

Unless otherwise indicated by us, the Redeeem Website and all content and other materials therein, including, without limitation, the trademarks, logos and all other  designs, text, graphics, pictures, information, data, software, sound files, other files made available on Redeeem and the selection and arrangement thereof, and any documentation provided to you by or on behalf of Redeeem (but excluding any and all trademarks, service marks or other intellectual property of Retailers found on Redeeem) are the exclusive property of Redeeem. 

All trademarks not owned by Redeeem that appear on this Website are the property of their respective owners. Reference to any products, services, merchants or retailers available on Redeeem does not constitute or imply any endorsement, sponsorship or recommendation by Redeeem. Furthermore, Redeeem is not the issuer of any of the Gift Cards available for sale on Redeeem, is not the Seller of any Gift Cards sold on Redeeem and is not related to any of the Retailers whose trademarks and Gift Cards appear on Redeeem for sale.

By posting or uploading any information, content or material to Redeeem's Website, you hereby agree to the following:

  1. You hereby grant Redeeem an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, and distribute said information, content or material and to grant and authorize sub-licenses of the foregoing.
  2. You hereby grant Redeeem all rights necessary to prohibit any subsequent aggregation, display, copying, duplication, reproduction or exploitation of the information, content or material by any party for any purpose.

Limitation of Liability

To the maximum extent permitted under applicable law, in no event shall redeeem, it subsidiaries or affiliates or any of their respective officers, employees, agents, merchants, licensors or partners, be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including, but not limited to, damages on account of lost profits, loss of data, business interruption, or lost business arising out of, related to, or in connection with (I) the use of the Website, the Website and/or User content, including any personal information, (ii) the use of the services on the Website (or inability to use the services), (iii) the marketing, purchase or sale of any Gift Cards on the Website, and (iv) any services or offerings provided by any third parties accessible from or through the Website, however caused, regardless of the theory of liability(including, contract, tort, warranty, strict liability, etc.) and even if redeeem was made aware of the possibility of such damages.

In no event shall redeeem's total liability to you, whether in contract, tort, warranty or any other theory of law, arising under these terms of use or arising out of or related to the use or inability to use the Website and/or service provided via the Website exceed $100 in the aggregate.

You agree that any cause of action hereunder must commence within one (1) year after the cause of action accrues or the cause of action shall be permanently barred. Because certain jurisdictions do not allow limitations on how long an implied warranty lasts in certain contexts, all or a portion of the above limitation may not apply to you.

Indemnification & Release

You agree to defend, indemnify and hold us (and our affiliates, subsidiaries and our and their respective officers, directors, employees and agents (collectively with Redeeem the “Indemnified Parties”)) harmless from any claim or demand made by any third party due to or arising out of or related to: (i) your breach of these Terms of Service, (ii) your improper use of the Website or Redeeem services, (iii) your violation of any third parties’ intellectual property rights, (iv) your intentional misconduct, fraudulent acts or gross negligence, (v) any content you provide on the Website or (vi) your violation of any applicable law, including any applicable tax laws. You agree to pay any and all losses, costs, damages and expenses (including reasonable legal fees and expenses) (collectively “Damages”) for which any Indemnified Party is found liable in respect of any such claim or demand and to reimburse each Indemnified Party immediately for any Damages that the Indemnified Party has directly incurred, suffered or paid.

You hereby recognize that Redeeem is not the issuer of any Retailer Gift Card traded on Redeeem and not the Seller of any secondary Gift Cards sold on Redeeem. To the extent permitted under applicable law, you agree to release Redeeem from any claim or liability arising out of or related to (x) how and whether a Retailer honors its Retailer Gift Card(s) purchased on Redeeem and (z) any Retailer’s failure to honor a particular Retailer Gift Card purchased by you on Redeeem. In addition, if any Gift Card Codes have been deemed to be stolen or claimed as lost by any entity, and if such Codes were traded using Redeeem, Redeeem cannot be held liable for any damage related to such. 

Anti Money Laundering

We understand that Redeeem has responsibilities to help fight the global battle against money laundering and our commitment will supersede all other privacy obligations contained in our policies. Accordingly, Redeeem will take all reasonable and appropriate steps to prevent persons engaged in money laundering, fraud, or other financial crimes from utilizing our products and services.

Our Anti-Money-Laundering (“AML”) policies, procedures and internal controls are designed to ensure compliance with all applicable BSA regulations and will be reviewed and updated on a regular basis to ensure appropriate policies, procedures and internal controls are in place to account for both changes in regulations and changes in our business. Key components of our AML framework include the following:

Compliance Officer

  • Coordinating and monitoring day-to-day compliance with the relevant legislation, regulations, rules and industry guidance and applicable money laundering laws and regulations.

Know Your Customer

Redeeem uses a 3rd party secure identification platform, Civic (civic.com). Civic uses a decentralized architecture with the blockchain and biometrics on the mobile device, their platform provides multi-factor authentication without a Username, password, third-party authenticator, or physical hardware token.

The nature, and extent, of what is required is guided by the customer’s deposit and withdrawal limits, account to be used and in some cases, the customer’s country of residence. In certain circumstances, Redeeem may perform enhanced due diligence procedures for customers presenting a higher risk, such as those transacting large volumes etc. Maintaining appropriate KYC records for the minimum prescribed periods;

Redeeem shall ensure timely and accurate rendition of all AML returns as specified in the SEC AML Rules and Regulations as well as other relevant Regulations, Act or Guidelines that may be issued from time to time by various government agencies. Redeeem shall also Provide training on the framework and raising awareness among all relevant employees.

Legal Disputes

By using this Website and agreeing to these Terms of Service, you agree that any claim, dispute, or controversy you may have against Redeeem arising out of, relating to, or connected in any way with these Terms of Service, this Website, or the purchase or sale of any Gift Cards or any other services offered on Redeeem (a “Dispute” ), shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ( “AAA” ) and conducted before a single arbitrator pursuant to the applicable Rules and Procedures established by AAA, including, without limitation, the AAA Supplementary Procedures for Consumer Related Disputes, available at adr.org. ( “Rules and Procedures” ).

The provisions of this Section shall constitute your and Redeeem written agreement to arbitrate Disputes under the Federal Arbitration Act (“Dispute Agreement”) and that you and Redeeem are each giving up the right to go to court and have a Dispute heard by a judge or jury (except for the limited exclusion above in a small claims court or in the context of injunctive relief permitted below).

You agree further that: (A) the arbitration shall be held at a location determined by Redeeem. (B) the arbitrator shall apply California law consistent with the Federal Arbitration Act and applicable statutes of limitations, and shall honor claims of privilege recognized at law. (C) there shall be no authority for any claims to be arbitrated on a class or representative basis. arbitration can decide only your and/or Redeeem individual claims. and the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated.

Redeeem agrees not to seek attorney’s fees and costs in arbitration unless the arbitrator determines the Dispute was frivolous. The arbitration shall be conducted based on written submission unless you request and/or the arbitrator determines that a telephone or in-person hearing is necessary.

(b) No Class Action.

We each agree that Redeeem shall bring any Dispute against the other in our respective individual capacities and not as a plaintiff or class User of a purported class, representative proceeding or as an association. We each agree that any Dispute will be arbitrated only on an individual basis and not in a class, consolidated or representative action. The arbitrator may not vary these terms.

(c) Choice of Law & Forum.

Any and all Disputes shall be governed by the laws of the State of California without regard to any conflicts of law provisions. In the event any Dispute were to proceed in court, you agree that (i) the federal and state courts of the state of California and Los Angeles County shall have exclusive jurisdiction to adjudicate any such Dispute, (ii) you and Redeeem irrevocably consent and submit to the exclusive personal jurisdiction and venue of such courts for the resolution of such Disputes and (iii) you and Redeeem agree to irrevocably waive any right to a trial by jury.

Paying Taxes

You are responsible for your own tax reporting (if applicable) and payment of any applicable taxes with respect to any Trades on Redeeem.

It is your responsibility to determine what, if any, taxes apply to the transactions for which you have submitted transaction details via the Services, and it is your responsibility to report and remit the correct tax to the appropriate tax authority. You agree that Redeeem is not responsible for determining whether taxes apply to your digital currency transactions or for collecting, reporting, withholding or remitting any taxes arising from any digital currency transactions.
